7. Intellectual Property

The Service and its original content (excluding user-generated content) are owned by the Company or its licensors.

You retain ownership of your content but grant us a worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute it as necessary to operate the Service.

8. Service Availability & Changes

The Service is provided “AS IS” and “AS AVAILABLE” without warranty.

We do not guarantee uninterrupted operation, error-free performance, or continued availability of any specific feature.

Features may be added, modified, or discontinued at our discretion without obligation to provide future updates.

9. Third-Party Services

Your use of third-party integrations is subject to their respective terms and privacy policies. We are not responsible for their actions or data handling.

10. Data Privacy & Processing

We act as a data processor when handling personal data on your behalf in the Service.

You remain the data controller and are responsible for complying with all applicable privacy laws.

11. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, and employees from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from:

Your use or misuse of the Service;

Your content;

Your violation of these Terms or any law;

Any dispute between you and your customers or third parties.

12. Limitation of Liability

Our total liability is limited to the greater of: (a) amounts you paid us in the past 12 months, or (b) $100 USD.

We are not liable for indirect, incidental, special, consequential, or punitive damages.

Any claim must be filed within one year of the event giving rise to it, or it is waived.

13. Dispute Resolution; Arbitration; Class Action Waiver

Any dispute will first be attempted to be resolved informally.

If unresolved, it shall be settled by binding arbitration in Orange County, California, under the rules of the American Arbitration Association.

You waive the right to participate in any class, collective, or representative action.

14. Termination

We may terminate or suspend your account immediately if you violate these Terms.

Upon termination:

Your right to use the Service ceases immediately.

Certain sections (intellectual property, indemnification, limitation of liability, dispute resolution) survive termination.

15. Governing Law

These Terms are governed by the laws of California, United States, without regard to conflicts of law principles.

16. Changes to Terms

We may modify these Terms at any time. If changes are material, we will provide at least 30 days’ notice before they take effect. Continued use after changes means you accept them.
